2. ELIGIBILITY

Age Requirement: You must be at least the age of majority in your jurisdiction (e.g., 18 years old in most locations) to create an account or use the Services. If you are under the age of majority, you may use the Services only with the involvement of a parent or legal guardian who agrees to be bound by these Terms.
Legal Capacity: You represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all the obligations herein.

3. ACCOUNT REGISTRATION

Creating an Account: To access certain features of the Services, such as purchasing tickets or posting content, you may need to register for an EVE account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use or suspected breach of your account. EVE will not be liable for any losses arising from unauthorized use of your account.
Account Suspension/Termination: We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in fraudulent or illegal behavior.

4. SERVICES DESCRIPTION

Event Discovery: EVE connects users with local businesses, community events, and promotions that match their interests and geographic location. While we strive to provide accurate and up-to-date information, we do not guarantee the availability, accuracy, or suitability of any events, venues, or promotions listed.
Third-Party Events and Services: EVE may feature or promote events organized by third parties (“Organizers”). Any transactions you enter into with third-party Organizers (e.g., ticket purchases, reservations) are solely between you and the Organizer. We do not oversee, manage, or control these events and are not responsible for their content, execution, or any disputes arising therefrom.
No Guarantee of Results: Your use of the Services is at your own risk. We make no guarantee as to the outcome of any event or promotion you discover or book via EVE, including availability of tickets, changes, cancellations, or your satisfaction with any such event.

5. USER CONDUCT

By using our Services, you agree not to:

Violate Laws or Regulations: Use the Services in any manner that violates applicable local, state, national, or international laws or regulations.
Infringe Rights: Infringe or violate the rights of others, including intellectual property, privacy, or publicity rights.
Disrupt the Platform: Interfere with or disrupt the integrity or performance of our Services, servers, or networks.
Transmit Harmful Content: Upload, post, or transmit any content that contains viruses, malware, or any other harmful code.
Impersonate Others: Misrepresent your identity or affiliation with any person or entity, or attempt to gain unauthorized access to another user’s account.
Collect Unauthorized Data: Harvest or collect personal data or information about other users without their consent.

EVE reserves the right (but has no obligation) to monitor, remove, or edit any user content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

6. USER CONTENT

Definition: “User Content” includes any text, images, reviews, comments, or other materials that you upload, post, or transmit through the Services.
License Grant: By posting User Content, you grant EVE a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sublicensable, and transferable license to use, reproduce, modify, publish, distribute, perform, display, and create derivative works of your User Content in connection with providing and promoting the Services.
Responsibility for Content: You represent and warrant that you own or have the necessary rights to submit User Content and that your content does not violate any laws or rights of third parties. You remain solely responsible for your User Content, and EVE assumes no liability for content posted by users.

7. INTELLECTUAL PROPERTY RIGHTS

EVE Content: All content on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and the compilation thereof (collectively, “EVE Content”), is the property of EVE or its licensors and is protected by applicable intellectual property laws.
Limited License: Subject to these Terms, EVE grants you a limited, revocable, non-transferable license to access and use the Services and to view, download, and print portions of the EVE Content solely for your personal, non-commercial use.
Restrictions: You may not copy, distribute, modify, or create derivative works of any part of the Services or EVE Content without our express written permission. Any unauthorized use of EVE Content may violate intellectual property laws and is strictly prohibited.

8. PAYMENT AND REFUNDS

Third-Party Payment Processors: If you purchase tickets or services through EVE, payments may be processed by third-party payment gateways. Your use of such third-party services is governed by their terms and privacy policies, not by EVE’s.
Pricing and Availability: All prices, discounts, and promotions posted on the Services are subject to change without notice. EVE does not guarantee the availability of tickets or promotions until your purchase is confirmed by the Organizer or relevant third party.
Refunds and Cancellations: Refund policies vary by event or Organizer. EVE is not responsible for providing any refunds or managing any disputes regarding cancellations, rescheduling, or dissatisfaction with an event. Please review the applicable Organizer’s refund policy or contact them directly for assistance.

9. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EVE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE.

10. LIMITATION OF LIABILITY

Indirect Damages: TO THE FULLEST EXTENT PERMITTED BY LAW, EVE WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES.
Aggregate Liability: IN NO EVENT WILL EVE’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EVE, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS (USD $100).
Exceptions: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. AS A RESULT, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EVE, its affiliates, officers, directors, employees, agents, and licensors from any claims, actions, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or any law or regulation.

12. MODIFICATION AND TERMINATION

Modification of Services: We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice to you. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
Termination by You: You may terminate these Terms at any time by discontinuing your use of the Services and closing your account.
Termination by Us: We may terminate or suspend your access to the Services for any reason, including breach of these Terms, without prior notice or liability. Upon termination, any rights granted to you under these Terms will immediately cease.

13. DISPUTE RESOLUTION

Governing Law: These Terms and any dispute arising out of or related to them will be governed by and interpreted in accordance with the laws of Canada, Ontario without regard to conflict-of-laws principles.
Arbitration (Optional Clause): Any disputes arising out of or related to these Terms shall be resolved by binding arbitration administered by an Arbitration Body under its rules and procedures. Judgment on the arbitration award may be entered in any court having jurisdiction. Each party shall bear its own costs and fees for the arbitration, unless otherwise determined by the arbitrator.
Class Action Waiver: You agree to resolve disputes with us on an individual basis and not as a representative or member of any class or putative class. You agree that you will not file a class action, or participate in a class action against us.

14. INTERNATIONAL USERS

EVE is based in Canada, and our Services are controlled and operated from our facilities in Canada. We make no representations that the Services are appropriate or available for use in other locations. Users who access or use the Services from other jurisdictions do so at their own volition and are responsible for compliance with local law.

15. CHANGES TO THE TERMS

We may revise these Terms from time to time at our sole discretion. The most current version will always be posted on our website or App. If we make material changes, we will notify you by email or by posting a notice within the Services. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the updated Terms.

16. MISCELLANEOUS

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements incorporated by reference, constitute the entire agreement between you and EVE regarding the use of the Services, superseding any prior agreements.
Severability: If any provision of these Terms is deemed invalid or unenforceable by a competent court, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights under these Terms without restriction.
Notices: We may provide notices or communications to you by email, regular mail, or postings within the Services. You consent to receive notices electronically, and you agree that such electronic notices satisfy any legal requirements that notices be in writing.
